Online Transactions Terms & Conditions

Certain transactions with The PPDM Association (the Association) can be done online through the Association’s website. All such transactions are subject to these terms and conditions as well. The Association may vary these terms and conditions from time to time without notification and it is your responsibility to ensure you are familiar with them.

1. Use of Online Transactions

The Association makes online transactions available for your personal and/or internal business purposes. You may use information provided to you through your online transactions solely for your personal and/or internal business purposes, provided that you do not remove any proprietary rights notices, do not modify the information and do not make any additional representations or warranties regarding the information.

2. Information and Privacy

You hereby authorize the Association to receive and collect information about you (including information about your online transactions) from time to time through the Association website. Any such information collected will be treated in accordance with the Association's Privacy Statement. The Association may only disclose information about you (including your identity) to a third party if the Association is requested to do so in the course of a criminal or other legal investigation, if you have authorized such disclosure, or if the Association determines that disclosure is necessary in connection with any complaint regarding your use of the site. 3. Accounts

Certain online transactions offered by the Association may require a login ID and password for verification of your identity. You agree that all information provided to the Association by you in relation to your account shall be current, complete and accurate. Your use of an Association account is subject to these terms and conditions as well as the Association's Website Terms and Conditions.

4. Password Security

If you are required to select a password, the Association recommends the password you select should not relate to any readily accessible data such as your name, birth date, address, telephone number, driver's license, license plate or passport. Nor may it be an obvious combination of letters and numbers, including sequential or same numbers or letters. You are entirely responsible for maintaining the security of your login ID and password, and for all activity which occurs on or through your account, whether authorized or unauthorized, including use by current and former employees if you are a corporate entity. You should change your password immediately if you believe that your login ID and password have been used without authorization and advise the Association of this. The Association shall not have any liability for your failure to comply with these obligations.

5. Security

Online transactions are provided through a secure website. However, you acknowledge and agree that internet transmissions are never entirely secure or private, and that any message or information you send to or through the Association website and while using online transactions (including credit card information) may be read or intercepted by others, even where a website is stated as being secure. The Association shall have no liability for the interception or 'hacking' of any data through the Association website or any other website by unauthorized third parties.

6. Your Warranties

In using any Association online transactions, you represent and warrant that you are over 18 and are authorized to undertake this transaction. If you are using a credit card to process a transaction, you represent and warrant that the credit card is issued in your name and that you shall pay to the issuer all charges incurred while using online transactions. If you are using an Association account, you represent and warrant that you are authorized to use the login ID and password allocated to such account.

7. Limitations and Exclusions

7.1 EXCEPT AS SPECIFICALLY PROVIDED IN THESE TERMS AND CONDITIONS, ANY PRODUCTS AND/OR SERVICES PROVIDED BY THE ASSOCIATION ARE PROVIDED “AS IS”, AND THE ASSOCIATION DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING THOSE OF PERFORMANCE OR MECHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OR THOSE ARISING OUT OF A COURSE OF DEALING OR USAGE OF TRADE, WITH RESPECT TO ITS PRODUCTS AND/OR SERVICES, AND DO NOT WARRANT THAT THE FUNCTIONS OR THE OPERATION OR THE CONTENT OF ITS PRODUCTS AND/OR SERVICES WILL BE:
  1. UNINTERRUPTED OR ERROR FREE;
  2. ACCESSIBILE;
  3. FREE FROM CONTENT WHICH MAY BE DEEMED TO BE PRIVATE UNDER THE LAWS OF THE PROVINCE OF ALBERTA OR THE COUNTRY OF CANADA;
  4. COMPLETE;
  5. CURRENT.
7.2. THE ASSOCIATION SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY AND ALL ITEMS, STATEMENTS OR CONTENT TRANSMITTED, POSTED OR RECEIVED ON ITS SYSTEMS OR ANY OTHER SYSTEMS, OR FOR MONITORING THE SAME. ASSOCIATION’S ENTIRE LIABILITY, REGARDLESS OF THE NUMBER OF CLAIMS, IN CONTRACT, TORT OR OTHER THEORY OF LAW, INCLUDING WITHOUT LIMITATION, NEGLIGENCE OR OTHERWISE, AND THE USER’S EXCLUSIVE REMEDY SHALL BE, AT THE OPTION OF THE ASSOCIATION:
  1. TO EITHER REFUND THE LESSER OF THE AMOUNT THE USER PAID TO THE ASSOCIATION UNDER THE LATEST MEMBERSHIP APPLICATION OR THE FEES PAID BY THE USER FOR THE PARTICULAR PRODUCT AND/OR SERVICE PROVIDED; OR,
  2. TO PROVIDE THE USER WITH CORRECTED ITEMS PROVIDED THAT THE ASSOCIATION IS NOTIFIED OF ANY CLAIM WITHIN NINETY (90) DAYS FROM THE DATE ON WHICH THE CLAIM ARISES.
7.3 DIRECT CONSEQUENTIAL, PUNITIVE OR SPECIAL DAMAGES OF THE USER OR OF ANY THIRD PARTY CLAIMED AGAINST THE USER, HOWSOEVER CAUSED, INCLUDING BUT NOT LIMITED TO, ANY LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF USE OR LACK OF AVAILABILITY OF FACILITIES INCLUDING COMPUTER RESOURCES, ROUTERS AND STORED DATA, SPECIAL, INCIDENTAL, PUNITIVE, EXEMPLARY, AGGRAVATED, ECONOMIC OR CONSEQUENTIAL DAMAGES, CONTRIBUTION OR INDEMNITY ARISING OUT OF THE USE, OR INABILITY TO USE THE PRODUCTS AND/OR SERVICES OR DELIVERABLES, IF ANY, PROVIDED UNDER THESE TERMS AND CONDITIONS, OR FOR CLAIM BY ANY OTHER PERSON EVEN IF THE ASSOCIATION OR ANY OF ITS LAWFUL CONTRACTORS, OR EMPLOYEES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES OR CLAIM.
7.4 IN NO EVENT WILL THE ASSOCIATION BE LIABLE TO THE USER FOR DAMAGES OR LOSSES ARISING FROM ANY THIRD PARTY, OR FOR DAMAGES OR LOSSES CAUSED BY THE USER, OR THEIR RESPECTIVE EMPLOYEES, CONTRACTORS OR SUBCONTRACTORS, OR FOR OTHER EVENTS BEYOND THE REASONABLE CONTROL OF THE ASSOCIATION.

8. Accuracy of Transaction Information

Before completing an online transaction with the Association, you will be presented with a confirmation screen verifying the transaction details you wish to process. It is your responsibility to verify that all transaction, credit card/account information and other details are correct. You should print the transaction confirmation for future reference and your files. The Association shall have no liability for transactions which are incorrect as a result of inaccurate data entry in the course of any online transactions, or for loss of data or information caused by factors outside of the Association's control.

9. Right to Suspend, Alter or Cancel Service

The Association shall be entitled at any time without prior notice or any liability to you, to cancel or suspend any or all online services and/or to substitute alternative services, which may or may not be interactive or transactional in nature.

10. Specific Service Terms and Conditions

The Customer acknowledges that certain online transactions made available or offered by the Association from time to time may be subject to specific additional terms and conditions, and agrees to review and comply with any such additional terms and conditions. Access and use of any online service shall be deemed to constitute acceptance of any such additional terms and conditions applicable to such service.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta.

12. Severability

If any part of this Agreement is determined by a court of competent jurisdiction to be illegal or invalid for any reason whatsoever, such part shall be severed from this Agreement and the validity of the remainder of this Agreement shall be unaffected.
